Brian Roberts is breaking up the company his family built.
But he is not loosening his grip on either piece.

This is his second separation in six months. In January, Comcast spun its cable networks into a new company, Versant Media. The June 29 announcement goes further: NBCUniversal and Sky become a standalone public company, Comcast keeps broadband and wireless, and the split closes within a year. The premarket pop above 20% mostly unwound by the close. Roberts’s control did not.

He holds a fixed one-third of Comcast’s vote on barely 1% of the economics, and the breakup leaves it untouched. At the broadband company he stays chairman, with former finance chief Michael Angelakis as CEO. At NBCUniversal he takes no title, staying “actively involved” alongside CEO Mike Cavanagh.

NBCUniversal will carry the same dual-class structure, so Roberts builds control into the spinoff from day one. He never has to grant either CEO independence. The question is whether he chooses to.

Both inherit hard jobs. Angelakis takes a cash-rich broadband business under attack from T-Mobile, Verizon fixed wireless, and fiber, where capital discipline is the whole job. Cavanagh takes NBCUniversal, spending on studios, parks, and streaming to chase Netflix as the bundle shrinks.

The AT&T parallel is obvious. It spun off WarnerMedia in 2022 under debt pressure, and Warner Bros. Discovery struggled at once. Comcast carries less debt and chose its timing. But the governance question is identical: can the spun leadership run independently?

Founder-backed operators move faster, but may spend a tenure executing someone else’s judgment. Which it is will show within two quarters, in the first capital decision each CEO makes without Roberts in the room.
