Two boards promoted the CFO to CEO this summer, then paid the operators who did not get the job to stay.
At Steel Dynamics, Inc, the board named Theresa Wagler, CFO since May 2007, its next CEO. President and COO Barry Schneider became Chief Technology Officer. Eight days after the August 4 announcement, its compensation committee approved $2 million in restricted stock for him. Half vests in 2028, half in 2029.
At ConocoPhillips, Andy O'Brien, CFO for 15 months, became CEO on September 1. The 8-K naming him disclosed two awards. Kirk Johnson, who runs global operations: $5 million vesting in five years. Nick Olds, who runs the Lower 48: $3 million vesting in three.
I read awards like these as a board pricing its own doubt. Routine retention pays an operator who is suddenly recruitable. These terms go further. Steel Dynamics called them transition awards and gave them to two of seven executives named that day. ConocoPhillips tied its awards to the succession and forfeits them on retirement.
Both boards will also keep the outgoing CEO as executive chair, a second hedge, against Spencer Stuart's 2025 base rate of 17%. An end date on Millett's chair in the 2027 proxy would change my mind.
We score Wagler on three dimensions.
1. Capital allocation. Shown: since she became CFO, the diluted share count has fallen about 25% and earnings per share have roughly quadrupled.
2. Authority. Shared by design: co-founder Mark Millett as executive chairman, Schneider paid to stay.
3. Operating depth. In 28 years she has overseen joint ventures but never run a mill. Untested.
Her first test: the aluminum operations lost $98 million in the first half of 2026. Management guided third-quarter aluminum to "improve meaningfully." My bar is profit, so on October 19 we will read the aluminum line first.
If aluminum is still losing money on January 1, who answers: Wagler, Millett, or the COO who runs aluminum, Miguel Alvarez?
