What does a board seein someone that themarket doesn't

She joined Dow out of Howard University in 1994.

Thirty-two years later, the board named Karen S. Carter its next CEO, effective July 1. She'll be the first woman and first person of color to lead the company in its 129-year history.

Carter rose through the operating core. She ran Dow's largest segment, Packaging & Specialty Plastics, before becoming Chief Human Resources Officer and then COO. She knows where the margin lives, where the costs hide, and who runs the operations. The CHRO experience matters in a restructuring: she has managed large-scale workforce changes before.

The context sharpens the signal. Dow reported a net loss of $445 million in Q1 2026. Oversupply from Chinese capacity additions is hitting commodity chemicals hard. The company launched Transform to Outperform, a restructuring targeting significant cost reductions and workforce cuts. The board didn't reach outside for a turnaround hire. They elevated the person who has been running the hardest parts of the business for years.

Outgoing CEO Jim Fitterling will stay as Executive Chair. That structure deserves scrutiny. Fitterling designed Transform to Outperform. Carter now has to execute a program she didn't author, with its architect still in the room. I've watched Executive Chair arrangements succeed and fail. The difference usually comes down to whether the new CEO's first major decision lands as clearly her own.

Carter's 32-year tenure is her strongest asset and her biggest open question. She knows Dow's operations and culture better than any outside hire could. But she has never set enterprise-wide strategic direction outside Dow's orbit. Whether Carter can reshape the portfolio rather than optimize what already exists is what separates this moment from a routine succession.

What to watch: Carter's first capital allocation decision under Transform to Outperform. Does it carry her imprint, or Fitterling's?
