Six Flags hired an operator to rebuild the business. Three months later, it installed a chairman who builds companies to sell them.

That tension is the whole story.

John Reilly became CEO on December 8, 2025. The board went outside for him: three decades in amusement parks, most recently at Parques Reunidos and Palace Entertainment. He was hired to fix what the merger left behind. Cedar Fair and Six Flags merged in July 2024 into North America's largest regional park operator; the stock has fallen about 60% since. Net debt sits at $5.3 billion, and guest experience hasn't kept pace.

Then JANA Partners, with about 9% ownership, went activist in March. It backed Reilly but pushed the board to explore a sale and replace its chair. Within weeks the board named Dick Haddrill Executive Chairman. Haddrill ran Bally Technologies for eight years, grew revenue from $550 million to $1.2 billion, lifted the share price sevenfold, and sold it to Scientific Games for $5.1 billion.

That Executive Chair appointment is the signal.

Reilly's first quarter was strong operationally: attendance up 4%, per-capita spending up 6%, revenue up 12%. But the first quarter is the off-season for regional parks, so it still posted a large seasonal loss, and 12% growth against $5.3 billion of debt is a deleveraging timeline measured in years. Jana won’t be that patient.

So the governance question decides everything: does Reilly have a mandate the board will defend through a multi-year rebuild, or a title while a sale gets negotiated above him?

A sale would hand Jana its exit. It would not, by itself, fix the debt or the guest experience that made the company cheap.

Boards reveal their true view through appointments, not press releases. The next signal is whether a formal strategic-alternatives process opens in the next quarter. If it does, Reilly's operating momentum stops mattering.
