Starbucks said no to Chipotle, and nothing about who was looking.
On October 8, the Financial Times reported that Starbucks had worked with advisers in recent months on a potential takeover of Chipotle. Starbucks first said it does not comment on rumors and speculation. On October 12 a spokesperson told NBC News by email: "we want to be clear we are not buying Chipotle."
Brian Niccol ran Chipotle as CEO from March 2018 until August 2024 and is now chairman and CEO of Starbucks. Chipotle Mexican Grill's shares have nearly halved since he left. Scott Boatwright, its chief operating officer from 2017, has been CEO since November 2024. Niccol's knowledge of the 2024 Chipotle argues for a deal. It also tends to make one harder for a board to challenge, because the person who knows the most chairs the room.
That room has 10 independent directors out of 11, Jørgen Vig Knudstorp as lead independent director since March 2025, and no committee assigned to review acquisitions. The denial says nothing about what those directors saw, or whether the work reached them.
Chipotle at about $41 billion would be roughly 30 times Starbucks' largest acquisition, the $1.3 billion East China buyout in 2017.
At Eagle Talon, we read a large acquisition on three dimensions:
1. what the CEO knows about the target
2. what the independent directors can verify without the CEO, and
3. whether the acquirer's capital allocation record supports the price. At Starbucks, the first is deep, the second unanswered, the third untested at this scale.
The next test is October 29, when Starbucks will report. If Niccol, asked about the exploration, repeats the spokesperson's line, the board's process stays unexamined. If he says who commissioned the work and when it stopped, the process is on the record.
If you sat on Starbucks' board and the chairman had run Chipotle until 2024, would you say your own number out loud?
